Todd Johnson

Todd’s practice focuses on renewable energy companies, companies seeking to have an impact on sustainable growth, energy efficiency, the internet and “for-benefit” corporations in the areas of corporate finance, joint ventures, corporate restructurings, corporate counseling, and mergers and acquisitions.

Todd founded Jones Day's Northern California presence in 2000 by opening its Silicon Valley office. During 20 years at Jones Day, Todd has: served as regular outside counsel for public companies (such as SunPower and Harman International) in acquisitions and offerings; served as counsel for investment advisors (such as Goldman Sachs and Houlihan Lokey); represented Isuzu Motors of America in its restructuring with General Motors; worked on large corporate governance matters (for First American Bankshares and the Dart Group), on mergers and acquistions (including SunPlus in its acquisition of the optical storage division of Oak Technology and Metering Technology in its sale to Echelon), and on nearly $20 billion in financings representing Bank of America.

Today, Todd's practice focuses on renewable energy companies (and their suppliers), including SunPower, Emcore, and EPV, energy efficiency companies, clients focused on sustainability, internet companies (particularly in the cause social networking space) and "for-benefit" corporations. Todd serves as regular outside counsel for SunPower Corporation, Taoit, SearchMe, Funny or Die, Green Harvest Technologies, and LaborFair.com, and he represents a number of other founders and start-ups through the formation, venture financing and liquidity phases.

Todd provides pro bono assistance to a number of organizations, particularly those focused on expanding the "for-benefit" sector, including the Aspen Institute, Good Capital, GlobalGiving, B Labs and Pura Vida. In the past year, Todd has been quoted for his work on behalf of "for-benefit" corporations in the New York Times and Inc.
